Terms & Conditions

Effective date: June 1, 2026  ·  Last updated: October 21, 2026

Acceptance of terms

Plain English: By creating an account or using StudioPal, you agree to these terms. If you're signing up on behalf of a studio or organization, you're agreeing on their behalf too.

These Terms & Conditions ("Terms") govern your access to and use of the StudioPal platform and website (the "Service"), operated by StudioPal ("we," "us," or "our"). Please read them carefully.

By creating an account, accessing, or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you are using StudioPal on behalf of an organization — such as a studio, school, or business — you represent that you have authority to bind that organization, and "you" includes both you and that organization.

If you do not agree to these Terms, you may not use the Service.

The Service

StudioPal is a studio management platform that helps activity studios — including dance studios, music schools, martial arts dojos, gymnastics programs, cheer studios, yoga studios, and similar organizations — manage classes, enrollments, students, billing, attendance, and related operations.

The Service is made available on a subscription basis. Features available to you depend on the plan you subscribe to. We reserve the right to modify, update, or discontinue features at any time, though we will provide reasonable notice for material changes.

StudioPal is not a payment processor. The platform enables studio managers to record payments manually. Any payment processing for StudioPal subscriptions is handled by Stripe, a third-party payment processor, and is subject to Stripe's terms of service.

Accounts & access

Registration

To use StudioPal, you must register for an account. You agree to provide accurate, current, and complete information during registration and to keep that information up to date.

Account security

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately at david@studiopal.app if you suspect unauthorized access to your account.

Roles and permissions

StudioPal uses a role-based access model. Each user is assigned one role per studio workspace — Studio Manager, Faculty, or Parent/Guardian. Roles determine what data a user can view and what actions they can take. Role assignments are made at the time of onboarding and cannot be changed after initial assignment.

Multiple studios

A single account can belong to multiple studio workspaces, with different roles in each workspace. Data is kept separate between workspaces; users can only access the data in workspaces they have been invited to join.

Invite codes

Studio Managers may onboard new users — staff and families — via invite codes. Invite codes are permanent and do not expire. Studio Managers are responsible for managing invite code distribution and for revoking access when a user should no longer have it.

SMS communications

StudioPal uses SMS text messaging solely to deliver one-time verification codes (OTPs) for account security purposes. SMS delivery is handled by Tencent's messaging infrastructure.

Opt-in

By providing your mobile phone number during account registration or when updating your profile, you consent to receive SMS text messages from StudioPal containing one-time verification codes. These messages are sent only when you initiate an action that requires verification — such as creating an account, logging in, or confirming a phone number change. You will not receive promotional or marketing SMS messages.

Message frequency

Message frequency varies based on your account activity. You will only receive an SMS when you actively trigger a verification step. In most cases this is fewer than once per session.

Message and data rates

Message and data rates may apply depending on your mobile carrier plan. StudioPal does not charge for SMS messages, but your carrier may.

Opt-out

To stop receiving SMS verification codes from StudioPal, remove your phone number from your account profile at any time in your account settings. Alternatively, reply STOP to any SMS message you receive from us to opt out. After opting out, you will no longer receive SMS messages from StudioPal. Note that removing your phone number may limit your ability to use SMS-based account verification.

Help

For assistance with SMS messages, reply HELP to any message from us or contact us at david@studiopal.app.

Supported carriers

SMS delivery is not guaranteed for all carriers or in all regions. Carrier support depends on Tencent's network agreements. If you are not receiving verification codes, check your carrier's international or short-code messaging settings, or contact us for alternative verification options.

Studio responsibilities

Studio Managers are the primary administrators of their workspace. By using StudioPal, Studio Managers agree to the following responsibilities:

  • Accuracy of records — you are responsible for the accuracy of student profiles, enrollment records, billing records, and other data you enter into the platform.
  • Parental consent — you are responsible for obtaining the appropriate parental or guardian consent before entering student information into StudioPal, particularly for minors.
  • Liability waivers — where you use StudioPal to collect liability waiver acceptances, you are responsible for ensuring those waivers comply with applicable law. StudioPal records acceptance status but does not provide legal advice on waiver enforceability.
  • Payment records — StudioPal does not process payments on behalf of studios. All payment records entered into the platform are manually recorded by Studio Managers and are their sole responsibility. StudioPal is not liable for billing disputes between studios and their customers.
  • Notifications — all notifications sent through StudioPal are system-generated based on actions taken within the platform. Studio Managers may not send arbitrary messages to families or students through the platform outside of system-generated notifications.
  • Data accuracy for dropped or inactive students — student profiles cannot be deleted, only deactivated. Studio Managers are responsible for keeping enrollment and student status up to date.

Acceptable use

You agree to use StudioPal only for lawful purposes and in accordance with these Terms. You must not:

  • Use the Service to store, transmit, or distribute content that is unlawful, harmful, harassing, defamatory, obscene, or otherwise objectionable.
  • Enter false, inaccurate, or misleading information about students, families, or transactions.
  • Attempt to gain unauthorized access to any part of the Service, another user's account, or our infrastructure.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Use automated tools, bots, scrapers, or scripts to access or extract data from the Service without our prior written permission.
  • Reverse-engineer, decompile, or attempt to derive the source code of the Service.
  • Resell, sublicense, or otherwise commercialize access to the Service without our written consent.
  • Use the Service in a manner that violates any applicable law, including data protection laws, consumer protection laws, or laws protecting minors.

We reserve the right to suspend or terminate accounts that violate these terms without prior notice.

Subscriptions & billing

Plans and fees

StudioPal is offered on a subscription basis across multiple tiers. Current pricing is available on our Pricing page. All prices are in USD and exclusive of applicable taxes unless stated otherwise.

Free trial

New accounts may be eligible for a free trial period. During the trial, you have full access to your chosen plan. At the end of the trial, your subscription will begin and your payment method will be charged unless you cancel before the trial ends.

Billing cycle

Subscriptions are billed monthly or annually, depending on the option you select. Annual plans are billed in full at the start of each billing cycle. Billing occurs on the same date each month or year from your subscription start date.

Payment processing

Payments are processed by Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis. You must keep your billing information current. Failed payments may result in temporary service interruption.

Plan changes

You may upgrade or downgrade your plan at any time. Upgrades take effect immediately and are prorated for the remainder of your billing cycle. Downgrades take effect at the start of the next billing cycle.

Cancellation

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. You will continue to have access to the Service until that date. We do not provide refunds for unused time in a billing cycle, except where required by applicable law.

Price changes

We may change subscription prices at any time. We will give you at least 30 days' notice of any price change before it applies to your account. Continued use of the Service after the price change takes effect constitutes acceptance of the new price.

Data ownership

Your data belongs to you. All content and data you enter into StudioPal — including student profiles, enrollment records, attendance logs, billing records, and class information — remains yours. We do not claim ownership over your data.

By using the Service, you grant us a limited, non-exclusive license to store, process, and display your data solely for the purpose of providing the Service to you. We do not use your studio's operational data to build products for third parties or to train machine learning models.

If you close your account, you may export your data before doing so. After account closure, we will delete your data within 90 days in accordance with our Privacy Policy.

Data isolation between studios

Each studio workspace is a separate data environment. Users in one workspace cannot access data from another workspace unless they have been explicitly invited to that workspace. We maintain logical separation of studio data at the infrastructure level.

Intellectual property

The StudioPal platform — including its software, design, user interface, logos, trademarks, and all associated intellectual property — is owned by or licensed to StudioPal. Nothing in these Terms transfers any intellectual property rights to you.

You may not copy, modify, distribute, sell, or otherwise exploit any part of the platform without our prior written consent.

If you submit feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free license to use that feedback for any purpose without any obligation to you.

Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or completely secure.

We are not responsible for any loss of data caused by service interruptions, bugs, or system failures, though we take reasonable measures to prevent such events and maintain data backups.

StudioPal does not provide legal, financial, or compliance advice. You are responsible for ensuring your use of the Service complies with all laws applicable to your studio, including data protection laws, consumer protection laws, and regulations governing minors.

Limitation of liability

To the fullest extent permitted by applicable law, StudioPal and its officers, directors, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Service — including but not limited to loss of revenue, loss of data, loss of goodwill, or business interruption — even if we have been advised of the possibility of such damages.

Our total liability to you for any claims arising out of or related to these Terms or the Service will not exceed the greater of (a) the total amount you paid to StudioPal in the 12 months prior to the event giving rise to the claim, or (b) $100 USD.

Some jurisdictions do not allow the exclusion or limitation of certain types of damages. In those jurisdictions, our liability is limited to the greatest extent permitted by law.

Indemnification

You agree to indemnify, defend, and hold harmless StudioPal and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses — including reasonable legal fees — arising from:

  • Your use of the Service in violation of these Terms.
  • Your violation of any applicable law or third-party rights.
  • Any data you submit to the Service, including student or family information.
  • Disputes between your studio and your customers, students, or families.

Termination

Either party may terminate the relationship under these Terms at any time.

Termination by you

You may cancel your subscription and close your account at any time through your account settings. Cancellation takes effect at the end of your current billing period.

Termination by us

We may suspend or terminate your access to the Service immediately if:

  • You materially breach these Terms and fail to remedy the breach within 7 days of notice.
  • You engage in conduct that poses a risk to the security or integrity of the Service or to other users.
  • You fail to pay applicable subscription fees.
  • We are required to do so by law.

In cases of serious violations — including illegal activity, abuse of the platform, or harm to other users — we may terminate immediately without prior notice.

Effect of termination

Upon termination, your access to the Service ends. You may export your data before closing your account. Following the 90-day post-closure retention window described in our Privacy Policy, your data will be permanently deleted.

Sections of these Terms that by their nature should survive termination — including intellectual property, limitation of liability, indemnification, and governing law — will continue to apply.

Governing law

These Terms are governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law principles.

Any disputes arising out of or relating to these Terms or the Service that cannot be resolved informally will be subject to the exclusive jurisdiction of the state and federal courts located in California. By using the Service, you consent to the personal jurisdiction of those courts.

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Changes to these terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this page. For material changes, we will notify you by email or by a prominent notice within the platform at least 14 days before the change takes effect.

Your continued use of the Service after updated Terms take effect constitutes your acceptance of the revised Terms. If you do not agree to the changes, you should stop using the Service before they take effect.
